It is earned in the quest Darkness Returns. Holding it rules out Nightingale Strife and Shadowcloak of Nocturnal.

Used in Builds

Open the character build planner with Nightingale Subterfuge already picked, then build the rest of your character around it.

Instantly absorb 100 points of Health from the target.

For 120 seconds you automatically become invisible while sneaking.
